Company Secretary

Usher Syndrome Ireland is seeking a new company secretary to join our active and engaged Board of Directors. Our mission is multifaceted: we strive to raise awareness of Usher syndrome, a rare genetic condition, and its impact while also serving as a reliable source of support and information for affected individuals, their families, and professionals alike. We are also deeply committed to fundraising for scientific research, with the goal of advancing knowledge and ultimately finding a cure or effective treatments for this rare condition. In addition to our national efforts, we have established strong links with organisations in Ireland and Usher syndrome organisations around the world. 

What are the Specific Responsibilities of the Company Secretary?

  • Liaise with the  Chairperson for preparation and circulation of agendas and minutes.
  • Organise board meetings and record minutes. 
  • Maintain statutory registers, including directors.
  • Be familiar with the charity’s governing document, the legal responsibilities of charities under the Charities Act 2009 and the charity’s internal governance rules. 
  • Ensure timely completion of CRO and statutory fillings
  • Ensure the board of Usher Syndrome Ireland are aware of their requirements to comply with the relevant codes such as the charity’s Code of Conduct for Charity Trustees and the Charities Governance Code. 
  • Assist the Chairperson and/or Treasurer with accounting or audit queries and guidance re same.  
  • Monitor legislative, regulatory, and governance developments.

Please note the following:

  1. This is a voluntary (unpaid) position.
  2. Board meetings are generally held online, 5-6 times a year.
  3. All Board members are expected to contribute to the ongoing development of the organisation and attend additional events where possible.
