Trustee with General Governance Experience

We would like to offer a position on our board of management as a Governance Specialist. In this crucial role, you will contribute your expertise in governance principles and practices to ensure the effective oversight, transparency, and accountability of our organization's operations. Your guidance will be instrumental in driving and delivering on our strategic plan, aligning our activities with our mission, vision, and values.

Responsibilities:

  1. Governance Oversight: Provide strategic guidance and leadership on governance matters, ensuring compliance with relevant laws, regulations, and best practices. Review and enhance governance structures, policies, and procedures to strengthen accountability and transparency.

  2. Strategic Planning: Collaborate with board members, executives, and stakeholders to develop and implement our organization's strategic plan. Contribute insights and recommendations to align strategic objectives with governance frameworks and principles.

  3. Risk Management: Identify, assess, and mitigate risks associated with governance, including conflicts of interest, legal compliance, and ethical considerations. Develop mechanisms for monitoring and reporting on governance-related risks to the board.

  4. Board Development: Support board effectiveness by facilitating orientation, training, and ongoing development opportunities for board members. Promote diversity, equity, and inclusion in board composition and decision-making processes.

  5. Stakeholder Engagement: Foster constructive relationships with stakeholders, including shareholders, members, donors, regulators, and the community. Communicate our organization's governance practices and values effectively to build trust and credibility.

Qualifications:

  • Extensive experience in governance, preferably in a leadership role within a nonprofit organization, corporation, or government agency.
  • Deep understanding of governance principles, practices, and frameworks, including legal and regulatory requirements (The Governance Code)
  • Proven track record of driving strategic initiatives and delivering results in complex environments.
  • Strong analytical skills, with the ability to assess risks, evaluate options, and make informed decisions.
  • Excellent communication and interpersonal skills, with the ability to engage and influence a diverse group of stakeholders.
  • Commitment to ethical conduct, integrity, and accountability in all aspects of governance and leadership.
