About the Organisation

The Centre for Environmental Living and Training (CELT) is a registered Irish environmental charity promoting sustainable living, nature conservation, traditional crafts, and non-formal adult education. Operating nationally but primarily in the Slieve Aughty region, CELT delivers practical workshops, community training, biodiversity initiatives, and flagship events like "Weekend in the Hills."

Role Overview

CELT is recruiting a voluntary Board Trustee with expertise in corporate governance, compliance, or law to lead our governance framework. This role ensures the charity operates to the highest standards under the Charities Governance Code, CRO requirements, and relevant Irish charity law.

Board & Operational Support

• Board Support: Supported by the Board Chair and Deputy Chair in steering organisational policy

• Operational Liaison: Works in direct partnership with the contracted Board Secretary on official filings, minute-taking, and register maintenance, and liaises with the Events Coordinator and Funding Coordinator to ensure compliance across public events and grant agreements

Key Responsibilities

• Advise the Board on compliance with the Charities Governance Code, statutory reporting, and company secretarial obligations

• Work alongside the Board Chair and contracted Board Secretary to maintain and review key organisational policies (GDPR, Safeguarding/Safe to Create, Codes of Conduct, and Risk Register)

• Guide the Board on best practices in non-profit governance, legal duties, and regulatory reporting

• Oversee the establishment and maintenance of a formal Register of Members

• Lead the process of updating CELT's Memorandum and Articles of Association to comply with the Companies Act 2014

• Ensure CELT's registered address with the CRO is accurate and up to date

• Advise the Board on IT governance, digital asset management and organisational data protection

• Ensure operational compliance across digital assets, email channels, and organisational property

Desirable Skills & Experience

• Background in law, corporate governance, company secretarial practice, regulatory compliance, or non-profit administration

• Knowledge of the Charities Act 2009, the Charities Governance Code, and GDPR requirements in Ireland

• Experience updating constitutions or Memoranda and Articles of Association for companies limited by guarantee

• Knowledge of Companies Act 2014 requirements for companies limited by guarantee

• Strong attention to detail and sound judgement in risk management and governance

Time Commitment

• Monthly board meeting (approx. 1.5–2 hours, online/hybrid)

• Approximately 2–3 hours per month for policy review and governance oversight

• AGM June/July in person event 2 hours
