Gender Rebels CLG is seeking a diligent and organised Volunteer Secretary to join our leadership team. This position is the backbone of our organisation's governance, ensuring we operate smoothly, transparently, and in full compliance with our legal obligations.

Role Description: Secretary
The Company Secretary is a senior committee member who ensures the effective administration and governance of Gender Rebels. This role is essential for maintaining our official records, supporting the board of directors, and ensuring our compliance with the Companies Act 2014.
Time Commitment: Approximately 8 hours per month (voluntary).
Key Responsibilities:

Organising and scheduling meetings for the Board of Directors, preparing agendas, and circulating relevant papers in advance.
- Attending all board and general meetings to take accurate and comprehensive minutes of proceedings and resolutions.

Maintaining the company's statutory books and records, ensuring all official documentation is up-to-date and filed correctly.
- Ensuring the organisation complies with its Constitution and the legal requirements of the Companies Act 2014.

Managing and filing all official board correspondence.
- Acting as a counter-signatory, alongside a Director, for the affixing of the company seal on official instruments.

We are seeking a candidate with exceptional organisational skills and a meticulous approach to their work.
Essential:

Proven experience in an administrative, secretarial, or governance role.

Excellent written communication skills with a high standard of accuracy, particularly in minute-taking.

Strong organisational and time-management abilities.

A deep appreciation for confidentiality and the ability to handle sensitive information with discretion.
- A genuine commitment to Gender Rebels' mission to empower transgender, non-binary, and gender-diverse adults.
Desirable:

Previous experience as a Company Secretary in the non-profit sector.

Knowledge of Irish company law and the governance requirements for a Company Limited by Guarantee (CLG).

Familiarity with the LGBTQIA+ community and the specific issues affecting trans people in Ireland.
