Company Secretary at NiteLine

 

NiteLine Dublin is an out-of-hours peer support service for third level students. We offer a listening and information service run by and for third level students every night of the week during term-time.We provide a service that is anonymous, confidential, non-judgemental and non-directive.

In November 2020, NiteLine recruited its first Board of Trustees and in December 2020, NiteLine applied for charitable status. We became a registered charity in August 2021 (CRN: 20206226). We are now looking for a company secretary who will provide legal administrative support to the board of trustees. The company secretary will work with the Legal Trustee and other board members to ensure compliance with company law. We are looking for a candidate that resides near Dublin, as most of our meetings require physical attendance.

If you have experience or some knowledge in legal, compliance or general corporate governance and want to put this into practice we’d love to hear from you! This is a great opportunity to gain some valuable experience in a key commercial area.

Responsibilities will include the following:

  • Maintaining statutory records,
  • Preparing and filing annual returns,
  • Ensuring adherence to corporate governance principles.
  • Facilitating communication between the board, management, and shareholders.

Essential Skills

  • Experience and knowledge on company secretarial law (directors filings, annual return
  • submissions, minute recording)
  • Experience handling filings with the Companies Registration Office
  • Excellent organizational skills

Desirable Skills

  • Previous governance experience with either in a company or with a charity 

There are 4 board meetings a year. Meetings are held in Dublin City or online.  Working sub-groups are scheduled as needed and some attendance at committee meetings may be required.
